Reference is made to the extraordinary general meeting of Aker Horizons ASA (under liquidation) (the “Company”) held on 26 February 2026, where shareholders resolved to liquidate the Company and to apply for delisting of the Company’s shares from trading on Euronext Oslo Børs.
Reference is further made to the announcement made by Oslo Børs on 18 March 2026 regarding its decision to delist the Company’s shares from trading on Euronext Oslo Børs with effect from 20 April 2026. The last day of trading in the Company’s shares is today, 17 April 2026.
Following the delisting, the Company will continue to exist as a public limited liability company (ASA) until the liquidation process has been completed and the Company has been finally dissolved.
The Board of Directors is in the process of preparing the liquidation settlement, and will, in accordance with Section 16-10 (1) of the Norwegian Public Limited Liability Companies Act, convene an ordinary general meeting in the near future to, among other things, present the 2025 annual accounts, liquidation accounts and propose that the general meeting approves the accounts and resolves the final liquidation of the Company. Subject to approval by the general meeting, final liquidation of the Company is expected to occur in early May.
The Company’s shares will remain registered with the Norwegian Central Securities Depository (Verdipapirsentralen, VPS) until final liquidation. Any liquidation dividend will be paid to shareholders through the VPS system prior to final liquidation of the Company.
Following the delisting, the Company will only publish announcements to shareholders on its website www.akerhorizons.com until final liquidation, including notice(s) of general meeting(s), annual accounts, information regarding the final liquidation accounts and proposed liquidation dividend. Notice(s) of general meeting(s) will also be sent to all shareholders with known address as per normal practice, however with a two weeks’ notice period as required by the Norwegian limited liability companies act for unlisted public companies.
